Terms of Sale

ARTICLE 1. Introduction

The general terms and conditions of sale detailed below apply without reservation by the customer for any order placed with CliKIT, whether online, by post, or by quote. An order is deemed validated when a complete order form has been sent and upon receipt of the deposit payment into our bank accounts. By validating their order, the customer acknowledges having read these GTC and having accepted them without reservation. No provision contrary to the general terms and conditions of sale may be enforced against CliKIT without its prior written consent.
The general terms and conditions of sale applied are those in force on the day the order can be qualified as validated; CliKIT reserves the right to modify its GTC at any time.

ARTICLE 2. Products

The essential characteristics of the products shown on the website and the technical data sheets provided are those supplied by the manufacturer. Photographs and visuals are provided for illustrative purposes only and are non-contractual; they cannot give rise to any liability on the part of CliKIT. CliKIT cannot be held liable for a description error originating from the manufacturer or a minor variation that does not call into question the product's functionality.

ARTICLE 3. Product availability

Product prices are valid as long as they are visible on the website www.veranda-en-kit.com and subject to availability from our supplier. The manufacturing lead time is provided as an indication only; it is communicated based on information given to CliKIT by the supplier, without commitment, and cannot give rise to any penalty or late-delivery compensation for CliKIT.
If a product is found to be unavailable after the order has been validated, CliKIT undertakes to inform the customer as soon as possible.
In such a case, the order for unavailable items will be cancelled and the customer will be refunded for the unavailable products within 30 days.

ARTICLE 4. Delivery

Delivery times are given as an indication only and without commitment; they cannot give rise to any penalty or late-delivery compensation for CliKIT.
Delivery is made to the address indicated by the customer at the time of ordering, within the areas served by CliKIT.

Prices stated on quotes are VAT-inclusive prices. In the event of a price discrepancy found on the website pages for the same product, only the price on the product description sheet shall prevail. The prices applied are those in force at the time of ordering. These prices may vary depending on occasional promotional offers.

Delivery

• For orders under 100 kg and under 4 metres in length: Delivery is provided by a standard carrier, at the property boundary.

• For orders over 100 kg and/or over 4 metres in length: Delivery is provided by a specialist carrier equipped with a forklift, allowing unloading as close as possible to the installation site.

Delivery is subject to the accessibility of the delivery location, according to the following criteria:

• The 26-tonne or 38-tonne truck must be able to access within 300 metres of the delivery point.
• The road must be passable for vehicles, with a minimum width of 3.5 metres.
• The truck must be able to depart by driving forwards or in reverse over a maximum of 300 metres.

If these conditions are not met and render delivery impossible, the customer undertakes to provide a new accessible delivery address as soon as possible. Failing this, CliKIT reserves the right to charge additional costs related to a new delivery attempt or temporary storage of the goods.

Free delivery

Delivery is made by appointment and is free of charge in mainland France and Belgium under the following conditions:

• Order exceeding €1,500 incl. VAT
• Accessibility conditions set out in the "Delivery" section
• Areas excluding mountainous regions with difficult access, Breton islands, city centres of major urban areas (Paris intra-muros, pedestrian access zones, etc.), Corsica

CliKIT also delivers to other areas (Corsica, Monaco, Switzerland, Germany, Luxembourg, Spain, Italy and other EU countries) for which transport costs are established on a quote basis. Consult the DELIVERY page for more details on delivery methods and their terms.

Receipt

The product is handed over at the property boundary and gives rise to the signing of a delivery note by the customer. The customer is required to check the condition of the goods' packaging with the delivery driver at the time of delivery. Any damage observed must be noted on the delivery note and reported to CliKIT within 3 working days by registered letter with acknowledgement of receipt, accompanied by the signed delivery note. Any claim must be sent by registered post to CliKIT accompanied by the delivery note expressly stating the reservations. In the event of non-compliant or defective delivery, we undertake to replace the affected parts as soon as possible. This warranty does not, however, cover any ancillary costs, such as costs related to removal, reinstallation, restoration, transport, or any external intervention.

ARTICLE 5. Pricing

Prices shown on quotes are expressed in euros, all taxes included (incl. VAT), and include shipping costs in France unless otherwise stated. In the event of a price discrepancy found on the website pages for the exact same product, only the price on the product description sheet shall prevail. The prices applied are those in force at the time of ordering. These prices may vary depending on occasional promotional offers or updates.

ARTICLE 6. Payment terms

Payment terms are specified on each quote, depending on the nature of the order (standard, custom-made, special manufacture) and the type of delivery planned.

Private Customers

According to the details stated on your quote or on the website, payment is made under the following conditions:

Full upfront payment

In certain specific cases stated on the quote, full payment upon ordering may be required (specific product, direct dispatch, particular transport conditions, etc.).

• Payment by cheque: The order will be processed after receipt of the cheque and after validation.
• Payment by Bank Transfer: The order will be processed after confirmation of the transfer by CliKIT's bank.
• Payment by Credit Card: The order will be processed upon receipt of validation.
• Payment facility in 2 or 3 interest-free instalments: The order will be processed upon receipt of acceptance validation from our partner ALMA.
  

  Alma's credit service is offered for purchases between €500 and €6,500, and payment is subject to the person purchasing the goods or services through Alma (the "Buyer") accepting the instalment payment agreement according to the following schedule:

  • 1st payment: on the day of the order, corresponding to 1/3 of the total amount
  • 2nd payment: 30 days after the order, corresponding to 1/3 of the amount
  • 3rd payment: 60 days after the order, corresponding to the final third
• Any refusal to grant instalment payment or deferred payment by Alma may result in the purchase contract for the goods or services ("GTC") becoming void, unless the Buyer agrees to pay the full purchase amount upfront.
• In the event of termination of the GTC, the instalment payment or deferred payment contract will be terminated by operation of law. 
• In the event of withdrawal from the instalment payment or deferred payment solution used for payment, the GTC will be terminated by operation of law, except in the case of full cash payment of the purchase amount through Alma.
• 10-instalment credit solution with fees: Your order will be put into production at the end of the withdrawal period in accordance with the provisions of Article L. 312-52 of the Consumer Code.
  

  Alma's credit service is offered for purchases between €2,700 and €12,000, and payment is subject to the signing of the credit agreement proposed by our partner ALMA. Details of the monthly instalments and associated fees are provided on ALMA's platform, to which you will be redirected when taking out the financing.

  • Part of the amount is paid via credit granted by Alma SAS, a payment institution and financing company approved by the ACPR under number 17408 - CIB code.
  In accordance with Article L.312-50 of the Consumer Code, in the case of payment in instalments, including the payment of a deposit, the buyer is provided with a receipt on paper or any other durable medium serving as a receipt and containing the full reproduction of the provisions below (Articles L. 312-52, L. 312-53 and L. 341-10 of the Consumer Code):
• Article L312-52: The sale or service contract is cancelled by operation of law, without compensation:
• 1° If the lender has not, within seven days of the borrower's acceptance of the credit agreement, informed the seller of the granting of the credit.
• 2° Or if the borrower has exercised their right of withdrawal within the period provided for in Article L. 312-19.
• However, where the borrower, by an express request, requests immediate delivery or provision of the goods or services, the exercise of the right of withdrawal from the credit agreement only results in the automatic cancellation of the sale or service contract if it occurs within three days of the borrower's acceptance of the credit agreement. The contract is not cancelled if, before the expiry of the periods mentioned in this article, the purchaser pays in full upfront.
• Article L312-53: In the cases of cancellation of the sale or service contract provided for in Article L. 312-52, the seller or service provider shall reimburse, upon simple request, any amount that the buyer has paid in advance on the price.
• Article L341-10: In the cases of cancellation of the sale or service contract provided for in Article L. 312-53, from the eighth day following the request for reimbursement of any amount paid in advance by the buyer, that amount shall accrue interest, by operation of law, at the legal interest rate plus one half.

Payment with deposit

Unless otherwise stated on the quote and/or specific provisions (specific product, direct dispatch, particular transport conditions, etc.), we offer the option of paying for the order with a deposit, with the balance to be paid later under the following conditions."

1. Deposit upon ordering (the amount is specified on the quote). The deposit may be paid either by cheque made out to Véranda CliKIT, or by bank transfer or credit card on our website:
   • Payment by Cheque: The order will be processed after receipt of the cheque and after validation.
   • Payment by Bank Transfer: The order will be processed after confirmation of the transfer by CliKIT's bank.
   • Payment by Credit Card: The order will be processed upon receipt of validation.
2. Balance to pay
   • Payment by Cheque handed to the carrier upon delivery.
     PLEASE NOTE: The carrier is not authorised to accept cash payments.
   • Payment by Credit Card: Possible a minimum of 72 hours before the delivery date.
   • Payment by Bank Transfer: Possible a minimum of 72 hours before the delivery date.

Business Customers (B2B)

Full upfront payment

According to the details stated on the quote or on the website and/or in certain specific cases (specific product, direct dispatch, particular transport conditions, etc.), full payment upon ordering may be required under the following conditions:

• Payment by Bank Transfer: The order will be processed after confirmation of the transfer by CliKIT's bank.
• Payment by Credit Card: The order will be processed upon receipt of validation.

Payment with deposit

Unless otherwise stated on the quote and/or specific provisions (specific product, direct dispatch, particular transport conditions, etc.), we offer the option of paying for the order with a deposit, with the balance to be paid later under the following conditions."

   The balance must be paid at the time of scheduling the appointment with the carrier

   • Payment by Bank Transfer: Your delivery will be scheduled after confirmation of the transfer by CliKIT's bank.
   • Payment by Credit Card: Your delivery will be scheduled after receipt of payment.

   Payment by cheque is not accepted for business customers.

CliKIT reserves the right to refuse any order or delivery in the event of an ongoing dispute, partial or total non-payment of a previous order, or if a risk of payment default is identified.

Default of payment

Payment deadlines are mandatory and cannot be deferred for any reason, including in the event of a dispute.
Any late payment will result, after formal notice by CliKIT, in the application of a penalty of 15% of the outstanding amount, with a minimum of forty (40) euros. Furthermore, any amount not paid by its due date will automatically accrue, by operation of law and without the need for a reminder, late payment interest for the benefit of CliKIT, calculated at a rate of three times the applicable legal interest rate, in accordance with Article 1343-1 of the Civil Code.

ARTICLE 7. Right of withdrawal

In accordance with Article L221-28 of the Consumer Code, no right of withdrawal applies to products manufactured to order or personalised in accordance with the customer's specifications.
These products are therefore excluded from the right of withdrawal, except in the case of non-conformity or hidden defects..

ARTICLE 8. Retention of title clause

Products remain the property of CliKIT until CliKIT's bank confirms full payment of the order. However, from the moment the customer receives the order, the risks associated with the delivered goods are transferred to the customer.

ARTICLE 9. Warranties

Products sold by CliKIT benefit from:

• of the legal warranty of conformity (Articles L217-3 to L217-17 of the Consumer Code)
• of the warranty against hidden defects (Articles 1641 to 1649 of the Civil Code)
• and, where applicable, a manufacturer's commercial warranty, the terms of which are specified in the product description sheet (up to 10 years; please refer to each item's sheet)

It will only be effective upon presentation of the purchase invoice for the product. The warranty does not cover defects and deterioration resulting from external events, accidents, normal wear and tear, or use not in accordance with the manufacturer's instructions. Excluded from this warranty are any modifications, repairs, or interventions carried out by the buyer or by a third party not authorized by the manufacturer. The warranty covers the product, but does not cover certain additional costs, such as those related to disassembly, reinstallation, transport, or interventions carried out by non-approved service providers.

ARTICLE 10. Intellectual property

All elements of the website www.veranda-en-kit.com (texts, images, logos, trademarks, graphic charter, etc.) are protected by the Intellectual Property Code. In accordance with the provisions of the Intellectual Property Code, only use for private purposes, subject to different or more restrictive provisions of the Intellectual Property Code, is authorised. Any total or partial reproduction of the website www.veranda-en-kit.com is strictly prohibited.

ARTICLE 11. Data protection

The personal data collected is necessary for processing orders and managing the customer relationship. CliKIT undertakes not to disclose to third parties the information you have provided. All such information is confidential and will only be used for the processing and tracking of your order.
In accordance with the French Data Protection Act of 6 January 1978 as amended and the General Data Protection Regulation (GDPR), the customer has the right to access, rectify, delete, object to, and transfer their data.
Any request must be sent by post or e-mail to CliKIT.

ARTICLE 12. Force majeure

CliKIT's liability cannot be engaged in the event of force majeure, within the meaning of Article 1218 of the Civil Code, preventing the fulfilment of its contractual obligations.

ARTICLE 13. Applicable law - Disputes

These GTC are governed by French law. The language of this contract is French.
In accordance with the provisions of Articles L.611-1 and following of the Consumer Code, any dispute between the Customer and SAS CLIKIT must, as a priority, be subject to an attempt at amicable resolution.
To this end, the Customer is invited to send a written complaint to SAS CLIKIT by registered letter with acknowledgement of receipt, specifying the nature of the dispute.
In the absence of a response within thirty (30) days of receipt of this complaint, or if the response provided does not lead to a satisfactory solution, the Customer may then refer the matter free of charge to a consumer mediator.
